Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agency Office platform and related services. By creating an account, accessing, or using the service, you agree to be bound by these Terms. If you do not agree, you must not use the service.

1. Who We Are

The service is provided by Agency Office Ltd ("Agency Office", "we", "us", "our"), a company registered in England & Wales. Our registered address is 167-169 Great Portland Street, London, W1W 5PF. You can contact us at info@agencyoffice.net or +44 (0) 20 3026 3227.

2. The Service

Agency Office provides a cloud-based, multi-tenant Customer Relationship Management (CRM) platform designed for business transfer and commercial property estate agencies. The service includes applicant and property management, matching and automation tools, communications features, client-facing websites, mobile applications, and related functionality made available to you from time to time. We may add, modify, or remove features as the platform evolves.

3. Accounts and Eligibility

To use the service you must register for an account and be at least 18 years old and capable of forming a binding contract. You are responsible for:

  • Providing accurate and complete registration information and keeping it up to date
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account and those of your users
  • Notifying us promptly of any unauthorised use or security breach

Where you register on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

4. Acceptable Use

You agree not to, and not to permit any of your users to:

  • Use the service for any unlawful, fraudulent, or deceptive purpose
  • Send unsolicited, unlawful, or infringing communications, including in breach of applicable marketing, privacy, or electronic communications laws
  • Upload or transmit malware, or attempt to gain unauthorised access to the service, other accounts, or our systems
  • Interfere with, disrupt, or place an unreasonable load on the service or its infrastructure
  • Reverse engineer, copy, resell, or create derivative works from the service except as permitted by law
  • Use the service in a way that violates the terms of any integrated third-party platform, including the WhatsApp Business Platform and Meta Platforms policies

We may investigate suspected breaches and take appropriate action, including suspending or terminating access.

5. Customer Data and Ownership

As between you and us, you retain all rights, title, and interest in the data you and your users submit to the platform ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the service. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and lawful basis to provide it to us.

We process personal data contained in Customer Data as a data processor acting on your instructions. Our handling of personal data is described in our Privacy Policy.

6. Subscription, Fees and Billing

Access to the service is provided on a subscription basis. Fees, billing frequency, and any usage limits are set out in your order or subscription plan. Unless stated otherwise:

  • Fees are payable in advance and are exclusive of VAT and other applicable taxes
  • Subscriptions renew automatically for successive terms unless cancelled in accordance with your plan
  • Late or failed payments may result in suspension of the service
  • Except where required by law, fees paid are non-refundable

We may change our fees on renewal by giving you reasonable prior notice.

7. Third-Party Services

The service integrates with, or allows you to connect to, third-party services and platforms. In particular, the service can connect to the WhatsApp Business Platform provided by Meta Platforms, Inc. ("Meta") to enable messaging between your agency and its contacts. Where you connect your own WhatsApp Business number:

  • Your use of WhatsApp messaging is also subject to Meta's and WhatsApp's own terms and policies, and you are responsible for complying with them
  • We are not responsible for the availability, performance, or actions of Meta or any other third-party service, and integrations may change or be discontinued if a third party changes or withdraws its platform
  • You authorise us to access and process the data necessary to operate the integration on your behalf (see our Data Deletion page for how to disconnect and remove that data)

Other third-party services we rely on may include hosting, analytics, payment, calendar, and email providers. Your use of those services may be governed by their own terms.

8. Intellectual Property

The service, including its software, design, text, graphics, and trademarks (but excluding Customer Data), is owned by Agency Office Ltd or its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable right to use the service during your subscription solely for your internal business purposes. No other rights are granted.

9. Warranties and Disclaimers

We will provide the service with reasonable skill and care. Except as expressly stated in these Terms, and to the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence or for fraud. Subject to that:

  • We are not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, business, goodwill, or data
  • Our total aggregate liability arising out of or in connection with the service in any 12-month period is limited to the fees paid by you for the service in that period

11. Suspension and Termination

You may terminate your subscription in accordance with your plan. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or where required to protect the service, other customers, or comply with law. On termination, your right to use the service ends. We will make Customer Data available for export for a limited period and will delete it thereafter, subject to any retention required by law, as described on our Data Deletion page.

12. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will provide reasonable notice, for example by posting the updated Terms on our website or notifying you within the platform. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction, save that we may seek injunctive relief in any competent court.
